Terms of Service

Eligibility and Authority

The Service is offered for business use by Shopify merchants and their authorized personnel. You represent that you are at least 18 years old, have legal capacity to agree to these Terms, and, if acting for a business, have authority to bind that business. You are responsible for everyone who uses the Service through your store or credentials.

The Service

Revenue Reactor may sync and analyze Shopify product information; calculate SEO, quality, and answer-readiness scores; identify product issues; display Search Console and GA4 context; estimate organic revenue risk; create rewrite plans, SEO metadata, product copy, tags, image-alt suggestions, AEO answer packs, and quality or claim-support records; track actions and usage; and apply merchant-approved fields through Shopify.

Features, models, scoring methods, limits, data sources, and supported fields may change. AEO answer packs and internal analysis are not automatically published as storefront content unless an available workflow clearly allows it and the merchant chooses to publish or apply it.

Early Access and Preview Features

Some features or plans may be described as free, beta, preview, early access, experimental, or limited release. They may be incomplete, change without notice, contain errors, have reduced support or availability, or be suspended or discontinued at any time. Do not rely on a preview feature for business-critical operations without independent review, testing, and backups.

Merchant Content and Permissions

You retain your rights in product data, images, store content, instructions, and other material you provide or authorize ("Merchant Content"). You grant Revenue Reactor and its service providers a limited, non-exclusive right to host, copy, process, transmit, transform, and display Merchant Content only as needed to provide, secure, support, and improve the Service.

You represent that you have all rights, permissions, notices, and consents needed for Merchant Content, connected Shopify stores, selected Google properties, and any personal or proprietary information you submit. You must not submit content that is unlawful, deceptive, infringing, malicious, confidential without authorization, or subject to restrictions that prevent the processing described in our Privacy Policy.

Merchant Review, Publishing, and Backups

All scores, flags, recommendations, drafts, and generated fields are decision-support tools. You are solely responsible for reviewing, editing, approving, testing, publishing, and monitoring any change. An approval or apply action made through your store or authorized account is treated as your instruction.

You are responsible for maintaining appropriate backups or exports of important store content before applying changes. Revenue Reactor does not guarantee that an applied change can be reversed, that prior content can always be restored, or that Shopify or another platform will preserve version history.

AI, SEO, AEO, and Output Disclaimer

AI-assisted output may be inaccurate, incomplete, outdated, non-unique, misleading, or unsuitable for a particular product, audience, jurisdiction, or platform. Automated safeguards, source checks, quality gates, and claim records reduce risk but do not replace human review.

You must independently verify product identity, facts, ingredients, materials, dimensions, compatibility, safety information, warnings, certifications, claims, intellectual-property rights, and legal or platform compliance before publication. Revenue Reactor does not provide legal, medical, regulatory, tax, accounting, or financial advice.

Scores, Google Data, and Revenue-Risk Estimates

SEO scores, AEO readiness, issue classifications, lost-click calculations, signal confidence, attributed values, and revenue-risk figures are estimates for prioritization. They can be based on incomplete, delayed, sampled, modeled, merchant-provided, third-party, or assumption-based data. They are not audited financial results and should not be used as the sole basis for spending, forecasting, valuation, inventory, compliance, or other material business decisions.

If you connect Search Console or GA4, you represent that you are authorized to access the selected account and property. You remain responsible for your Google configuration, permissions, data quality, and compliance with Google's terms. You can disconnect Google services at any time.

Regulated Products and Merchant Claims

You are solely responsible for products offered through your store and all related claims, labels, disclosures, warranties, warnings, substantiation, age restrictions, and regulatory obligations. This includes health, medical, supplement, cosmetic, food, safety, performance, environmental, certification, origin, and comparative claims. Revenue Reactor does not approve products or certify that content complies with any law, regulator, marketplace, advertising rule, or industry standard.

No Ranking, Citation, or Revenue Guarantee

We do not guarantee search rankings, indexing, answer-engine inclusion or citation, impressions, clicks, traffic, conversion rates, sales, revenue, savings, or any other outcome. Search engines, answer engines, Shopify, Google, customers, competitors, markets, and other factors outside our control can affect results.

Plans, Billing, Taxes, and Refunds

Plan features, product limits, AI credits, and prices are shown in the Service or applicable Shopify listing. Shopify may process charges, renewals, cancellations, and refunds under its billing rules. Unless required by law or expressly stated otherwise, fees already charged are non-refundable and unused credits have no cash value. You are responsible for applicable taxes and for canceling before the next billing event. We may correct pricing errors and change future prices or limits with reasonable notice when required.

Third-Party Services

The Service depends on third parties, including Shopify, Google APIs, OpenAI, hosting, database, security, monitoring, and billing providers. Their services are governed by their own terms and policies. We do not control and are not responsible for third-party availability, accuracy, security, data loss, pricing, policy changes, account restrictions, API limits, model behavior, or acts and omissions. Your use of a third-party integration is at your own risk and may require a separate account or permission.

Acceptable Use

You may not, and may not help another person to:

• Use the Service or output unlawfully, deceptively, fraudulently, or in violation of Shopify, Google, OpenAI, or third-party rules.
• Publish false, unsupported, unsafe, infringing, discriminatory, defamatory, or harmful product claims.
• Access a store, Google property, account, product, or data without authorization.
• Probe, scan, disrupt, overload, scrape, reverse engineer, copy, resell, sublicense, or bypass security, usage, or billing controls except where a restriction is prohibited by law.
• Upload malware, expose credentials, attempt unauthorized access, or interfere with another merchant or the Service.
• Use output to train or develop a competing model or service where prohibited by applicable provider terms.

Service and Intellectual Property

Revenue Reactor and its licensors own the Service, software, scoring systems, workflows, designs, branding, documentation, and all related intellectual property, excluding Merchant Content and rights in third-party services. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes during your authorized subscription or access period.

If you provide suggestions or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.

Service Availability, Changes, and Force Majeure

We may modify, limit, suspend, or discontinue any part of the Service, including a feature, model, integration, plan, or usage limit. We do not promise uninterrupted, secure, timely, or error-free operation. We are not responsible for delay or failure caused by events beyond reasonable control, including third-party outages, platform changes, internet or utility failures, cyberattacks, labor disputes, natural events, governmental action, or changes in law.

Suspension and Termination

You may stop using the Service by disconnecting integrations and uninstalling the app. We may suspend or terminate access immediately if you breach these Terms, create security or legal risk, fail to pay, misuse the Service, threaten third-party systems or rights, or if a platform or law requires us to do so. Termination does not eliminate amounts already owed or provisions that by their nature should survive, including ownership, disclaimers, limitations, indemnity, and dispute provisions.

Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, SCORES, ESTIMATES, RECOMMENDATIONS, DRAFTS, OUTPUT, AND INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. REVENUE REACTOR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, SECURITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will meet your needs, prevent unsupported claims, detect every issue, preserve every field, produce lawful or accurate output, remain compatible with Shopify or Google, or operate without interruption, loss, delay, or error.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVENUE REACTOR AND ITS OWNER, AFFILIATES, PERSONNEL, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, RELIANCE, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, SALES, TRAFFIC, RANKINGS, GOODWILL, OPPORTUNITY, OR DATA; STORE OR BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; PRODUCT CLAIMS; REGULATORY ACTION; OR THIRD-PARTY CLAIMS ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGE IS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF REVENUE REACTOR AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SERVICE DURING THE THREE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100.

These exclusions and limits apply regardless of legal theory and are an essential basis of the agreement. They do not exclude liability that cannot lawfully be excluded or limited. If applicable law does not allow a stated exclusion, liability is limited to the greatest extent permitted by that law.

Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Revenue Reactor and its owner, affiliates, personnel, contractors, licensors, and service providers from claims, demands, investigations, proceedings, losses, liabilities, damages, judgments, settlements, penalties, costs, and reasonable legal fees arising from or related to: (a) Merchant Content, products, store operations, or published claims; (b) your approval, publication, application, or use of output; (c) your breach of these Terms; (d) your violation of law, platform rules, or third-party rights; or (e) unauthorized or negligent use of your account. We may control the defense and settlement of a covered claim, and you will reasonably cooperate.

Informal Dispute Notice and Time Limit

Before filing a formal claim, you agree to email a written description of the dispute to hello@revenuereactorapp.com and allow 30 days for a good-faith resolution attempt. To the extent permitted by law, any claim arising from the Service or these Terms must be filed within one year after the event giving rise to the claim, or it is permanently barred. This paragraph does not shorten a limitations period where doing so is prohibited by law.

Governing Law and Venue

These Terms and any dispute arising from or related to the Service are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. To the maximum extent permitted by law, you and Revenue Reactor Labs LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Colorado. Either party may seek emergency or injunctive relief in any court of competent jurisdiction where necessary to protect security, confidential information, or intellectual-property rights.

Miscellaneous

These Terms and the Privacy Policy are the entire agreement about the Service unless a separate written agreement applies. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of the Service or assets. Headings are for convenience only.

Changes to These Terms

We may update these Terms as the Service, providers, or legal requirements change. We will post revised Terms, update the effective date, and provide additional notice when required. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
